National jurisdiction of GFTV

  1. GFTV is an organisation created within the territory of the Republic of Singapore. It is thus bound by and will comply with the country's laws.

18.1 GFTV’s Place of Operations shall be the residence of the Project Head or such other address as the PAL may subsequently decide upon.

18.2 GFTV shall carry out its activities only in places and premises with prior written approval from the relevant authorities or management, within or outside of Singapore, where applicable.

18.3 GFTV’s activities outside Singapore shall not violate the laws of the foreign country where said activities occur.

The Charter and Standards

  1. The Charter, which is the de facto constitution of GFTV, shall, on a de jure basis, govern GFTV's ethical and operational processes with the Standards.

  2. The Charter and Standards may be amended at a MOM specifically convened for this, with a three-quarters (¾) majority vote among ≥80% of the electoral quorum present.

20.1 Officers must notify Personnel 14 days in advance before a MOM for amendments can begin.

20.2 All Officers must unanimously consent to start the vote for amendments.

  1. If the MOM passes the amendments, officers have one week to amend all details on documents relevant to the decision.

  2. The MOM’s decision is final. To reverse it, another MOM or EMOM must be convened and have a three-quarters (¾) majority vote among ≥80% of the electoral quorum present.

Elections

  1. Unless otherwise stated, Team Members and Officers can vote and hold office if —

23.1 they are above 21; and

23.2 they are in good standing.

  1. To pass resolutions at meetings, elections must always be held.

  2. The quorum in elections—at a MOM or EMOM with the active electoral quorum present at the meeting—that satisfies the ‘majority’ is a two-thirds (⅔) majority unless otherwise stated.

  3. Proxy voting is strictly prohibited.

  4. Personnel’s vote will be abstained if they do not vote by the poll deadline.

Meetings

Scheduling of meetings

  1. A General Meeting, or the Meeting of Members (MOMs), shall be approved based on the free time of all Personnel.

28.1 The Project Head or the Operations Officer may convene a MOM once a month via video calls or in person where possible.

28.2 All Personnel shall be notified of any upcoming MOM at least 14 days before the date on which the MOM may fall.

  1. If an urgent situation requires immediate discussion, an extraordinary general meeting, or the Extraordinary Meeting of Members (EMOM), may be held.

29.1 Personnel must be notified at least two days before an EMOM.

29.2 The Project Head or the Operations Officer may convene an EMOM a maximum of three times between the last and next MOM.

Quorum for meetings

  1. The MOM and EMOM quorum is the attendance of either the Project Head, the Operations Officer, or both, where best possible, at least two or more other Officers, three Team Members, and three CCS Members.

30.1 If there is no quorum at the start of meetings, the meetings shall be adjourned for half an hour.

30.2 If the quorum is still not formed, those present shall be considered a quorum but shall have no power to amend any part of the Charter and Standards.

30.3 In all cases, passing resolutions requires a majority vote according to Section 25 and shall be final. To reverse them, another MOM or EMOM must be convened with a majority vote according to Section 25.

Meetings cannot be held solely for votes

  1. Meetings can set resolutions only after Personnel have discussed the issues relevant to the meeting. Elections are then held to decide whether to pass the resolution.

31.1 Officers shall produce meeting notes within one week after every meeting and distribute them via GFTV’s virtual team spaces to record traceability and ensure prompt information of absent Officers and Team Members.
